Note: These Terms apply to all users of the OpenDine platform. By creating an account or using any part of OpenDine, you agree to be bound by these terms. If you do not agree, do not use the platform.
1. Acceptance of Terms
By accessing or using OpenDine ("the Service"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations. If you are using OpenDine on behalf of a business, you represent that you have the authority to bind that business to these Terms.
These Terms constitute a legally binding agreement between you ("you," "your," "Customer") and OpenDine Technologies Pvt. Ltd. ("OpenDine," "we," "us," "our").
2. Description of Services
OpenDine provides a cloud-based Kitchen Order Terminal (KOT) and restaurant management platform, including but not limited to:
- Order management and Kitchen Display System (KDS)
- Menu and inventory management
- Finance tracking, reporting, and payroll tools
- Multi-store management and reporting dashboards
- AI-powered procurement recommendations
- Customer loyalty program management
- Public QR menu and waiter-call systems
- Super Admin subscription management tools
OpenDine is provided as a Software-as-a-Service (SaaS) platform. We reserve the right to modify, suspend, or discontinue any feature at any time with reasonable notice.
3. Account Terms
3.1 Eligibility
You must be 18 years or older to create an OpenDine account. You are responsible for ensuring that your use of the Service complies with all applicable laws in your jurisdiction.
3.2 Account Registration
To use OpenDine, you must create an account with accurate, complete, and current information. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
3.3 Account Security
You agree to immediately notify us of any unauthorized use of your account at security@opendine.com. We are not liable for any loss or damage arising from unauthorized use of your credentials.
3.4 Multi-User Access
OpenDine supports multiple users per account with role-based access controls (RBAC). The account owner is responsible for managing user roles, permissions, and ensuring all users comply with these Terms.
4. Subscription & Billing
4.1 Plans
OpenDine offers the following plans:
- Starter (Free): Free for single-outlet restaurants. Full core features included.
- Premium: $40 per outlet per month, billed monthly or $350 per outlet per year (billed annually).
- Enterprise: $60 per outlet per month. Includes unlimited outlets, dedicated support, custom SLA, and white-label options.
4.2 Free Trial
Premium and Enterprise plans include a 14-day free trial. No credit card is required to start a trial. At the end of the trial, your account automatically converts to the Starter plan unless you upgrade.
4.3 Billing Cycle
Subscription fees are billed in advance on a monthly or annual cycle. All fees are in USD unless otherwise specified. Taxes may apply depending on your location.
4.4 Upgrades & Downgrades
You may upgrade or downgrade your plan at any time. Upgrades take effect immediately and are prorated. Downgrades take effect at the start of the next billing cycle.
4.5 Cancellation
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.
4.6 Failed Payments
If a payment fails, we will notify you and attempt to retry the charge. If payment is not received within 7 days, your account may be suspended. Access is restored upon successful payment.
5. Acceptable Use
You agree NOT to use OpenDine to:
- Violate any applicable local, state, national, or international law or regulation.
- Process food orders without proper regulatory compliance (FSSAI, health codes, etc.).
- Upload or transmit any content that is unlawful, harmful, threatening, abusive, defamatory, or obscene.
- Attempt to gain unauthorized access to the platform, other user accounts, or our infrastructure.
- Reverse engineer, decompile, disassemble, or hack any component of OpenDine.
- Use automated tools (bots, scrapers) to extract data from the platform without authorization.
- Resell, sublicense, or redistribute OpenDine without our prior written consent.
- Use the platform to process transactions on behalf of third parties (payment aggregation without appropriate licensing).
- Upload or introduce malicious code, viruses, or any form of harmful software.
Violation of this section may result in immediate suspension or termination of your account, without refund.
6. Your Content
6.1 Ownership
You retain ownership of all content you upload, create, or manage on OpenDine, including menus, customer data, inventory records, financial data, and staff information ("Your Content"). We claim no ownership over Your Content.
6.2 License to Use
You grant OpenDine a limited, revocable, non-exclusive license to use Your Content solely to provide the Service to you. This includes storing your data, displaying it within the platform, generating reports, and enabling AI features you have activated.
6.3 Data Export
You may export Your Content at any time through the platform's export tools. After account termination, you have 30 days to export your data before permanent deletion.
7. Intellectual Property
7.1 OpenDine's IP
OpenDine and its licensors retain all intellectual property rights in the platform, including the software, design, logos, trademarks, documentation, and all related technology. You receive a limited, non-exclusive, non-transferable license to use the platform during your subscription period.
7.2 Trademarks
OpenDine's name, logo, and associated trademarks are the property of OpenDine Technologies Pvt. Ltd. You may not use our trademarks without prior written permission.
7.3 Feedback
If you provide suggestions, feature requests, or feedback about OpenDine, we may use them without obligation to you or compensation.
8. API & Integrations
8.1 Open API
OpenDine provides APIs and webhooks for authorized integrations. All API usage must comply with our API Usage Policy. We reserve the right to rate-limit, suspend, or terminate API access for abusive or non-compliant usage.
8.2 Third-Party Services
OpenDine may integrate with third-party services (payment processors, delivery platforms, accounting tools). These services are governed by their own terms and privacy policies. We are not responsible for third-party services.
9. Limitation of Liability
To the maximum extent permitted by law:
OPENDINE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
IN NO EVENT SHALL OPENDINE, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF OPENDINE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO OPENDINE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
⚠️ Restaurant Operators: OpenDine is a management tool. It is your responsibility to ensure your restaurant complies with all applicable food safety, licensing, tax, and employment laws in your jurisdiction. OpenDine is not a substitute for legal or regulatory compliance advice.
10. Indemnification
You agree to indemnify, defend, and hold harmless OpenDine, its directors, employees, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of the OpenDine platform
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your infringement of any third-party rights (including intellectual property or privacy rights)
- Disputes with your customers or staff arising from your use of the platform
11. Termination
11.1 By You
You may terminate your account at any time from your account settings. Termination takes effect at the end of your current billing period. No refunds for partial periods.
11.2 By OpenDine
We may suspend or terminate your account immediately, without notice, if you:
- Violate these Terms or the Acceptable Use policy
- Fail to pay fees when due
- Engage in fraudulent or illegal activity
- Pose a security risk to our platform or users
11.3 Effect of Termination
Upon termination, your access to the platform is revoked. Your data is retained for 30 days for export purposes, then permanently deleted unless a longer period is required by law.
12. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Bangalore, Karnataka, India.
Before initiating any dispute resolution process, you agree to contact us and attempt to resolve the issue informally for 30 days. For enterprise customers, we offer structured mediation before legal proceedings.
13. Changes to These Terms
We may update these Terms from time to time. When we make material changes:
- We will notify you via email at the address associated with your account.
- The updated "Last updated" date will reflect the revision date.
- Material changes will be communicated at least 30 days before taking effect.
- Continued use of OpenDine after changes take effect constitutes acceptance of the revised Terms.
